Terms of Service

These Terms of Service govern access to and use of WrapDesk's website, web app, mobile workflows, shop workspaces, installer workflows, booking links, payment workflows, messaging tools, and connected integrations.

These terms are product-specific and should be reviewed with legal advisers before relying on them as legal advice.

Agreement

WrapDesk is operated for vehicle wrap, PPF, tint, ceramic coating, detailing, and related automotive businesses. By creating an account, using a workspace, accessing an installer workflow, accepting an invitation, connecting an integration, or using the public website, you agree to these terms.

If you use WrapDesk on behalf of a company, shop, partnership, contractor, client, or other organisation, you confirm that you have authority to bind that organisation. In these terms, "you" includes both you and that organisation where applicable.

Separate written agreements, order forms, platform terms, or shop-specific customer terms may also apply. If a signed written agreement with WrapDesk conflicts with these terms, the signed agreement controls for that conflict.

Accounts and workspaces

WrapDesk accounts may be used by shop owners, staff, installers, admins, contractors, customers using booking or payment links, and people invited into a workflow. You must keep your account secure and use the role assigned to you only for authorised work.

  • You must provide accurate account, role, business, billing, and contact information and keep it current.
  • You are responsible for activity that happens under your account, workspace, staff accounts, connected shop assets, API credentials, and integration credentials.
  • You must only invite staff, installers, customers, contractors, or service providers who are authorised to access the relevant workspace or records.
  • You must promptly tell us if you believe an account, token, webhook, connected phone number, payment account, or integration credential has been compromised.

A shop workspace is controlled by the shop owner or authorised administrator for that workspace. The workspace owner is responsible for staff access, customer records, connected assets, subscription decisions, billing settings, and records created by the workspace.

Subscriptions and billing

Paid plans, trials, usage-based charges, deposits, payouts, refunds, disputes, and connected-account payments may be processed through Stripe or another payment provider. Prices, inclusions, limits, fees, taxes, billing dates, and plan names may change as the product evolves, unless a written agreement says otherwise.

You authorise WrapDesk and its payment providers to charge the payment method or connected account you provide for fees that are due. You are responsible for taxes, chargebacks, failed payments, dispute fees, payment-provider fees, and any amounts owed by your workspace, except where the law requires otherwise.

If payment fails or a plan is cancelled, we may limit, suspend, downgrade, or terminate access to paid features after reasonable notice where practical. Refunds are handled according to the applicable order form, plan terms, payment-provider rules, and law.

Shop workflows

WrapDesk helps shops organise operational workflows, but shops remain responsible for their own vehicle services, customer obligations, staff practices, installer arrangements, and legal compliance.

  • WrapDesk provides software for enquiries, CRM records, quotes, deposits, booking links, schedules, jobs, installer coordination, job proof, follow-ups, reviews, reporting, and related workflows.
  • WrapDesk does not inspect vehicles, install films, provide wrap, PPF, tint, coating, detailing, repair, or other vehicle services, or guarantee the quality, legality, timing, price, or outcome of any shop service.
  • Shops are responsible for quote accuracy, vehicle inspection, customer approvals, deposits, refunds, warranty terms, cancellation terms, consumer notices, work quality, and any customer-facing terms that apply to their services.
  • Public booking, quote, payment, and customer communication links may include shop-supplied information. The shop is responsible for reviewing that information before sending it to customers.

The existing quote terms page may be used as a simple default for shop quote links. Shops should replace or supplement those terms where their own customer terms are required.

Installer workflows

WrapDesk may allow shops to find, review, message, request, book, rate, or pay installers. Installers may create profiles, provide availability, respond to job requests, upload proof, maintain portfolios, and connect payment details.

WrapDesk is not a party to the work agreement between a shop and an installer unless a separate written agreement says so. Shops and installers are responsible for checking qualifications, insurance, right to work, safety requirements, work scope, rates, taxes, superannuation, employment or contractor classification, cancellations, and disputes.

A fixed-total paid installer offer shows the shop its gross charge, WrapDesk's fee, and an estimated payment-provider fee. The installer does not see the shop's charge or fee breakdown. The shop is not charged merely for sending an offer. If an installer confirms availability and the shop then continues, the shop authorises the displayed gross charge through Stripe Checkout.

Paid assignments use a delayed marketplace payout, not a legal escrow service. The charge is made to WrapDesk's Stripe platform balance and the installer's net amount is transferred only after the shop records the relevant activity or whole job as complete. WrapDesk deducts the disclosed 1.2% platform fee and the actual Stripe processing fees before calculating the installer payout. After settlement, the installer sees only the exact payout and must accept it within 72 hours. If the installer declines or does not respond, the assignment is cancelled and the recoverable shop amount is refunded.

Before payout release, cancellation refunds are limited to the amount recoverable after non-refundable Stripe costs and WrapDesk retains no platform fee. After release, cancellation, refunds, and any transfer reversal require administrator review. Disputes and chargebacks can freeze affected payouts. Shops and installers remain responsible for GST, tax invoices, income reporting, contractor obligations, and all other tax treatment; WrapDesk does not calculate GST or issue tax invoices for the underlying installer service in this release.

Installer profiles, portfolio items, ratings, availability, and responses may be shown to shops or used in outreach where the installer has provided or approved that information. Installers must have the right to upload and display portfolio content.

Messaging and integrations

WrapDesk can connect to third-party services such as Stripe, Twilio, Resend, Google Calendar, Google sign-in, Google Analytics, Firebase Cloud Messaging, Meta services, WhatsApp Business, Facebook, Instagram, OpenAI, hosting, storage, and support tools.

  • You must have the right permissions, notices, and consents before connecting or using email, SMS, voice, WhatsApp, Facebook, Instagram, calendar, payment, analytics, AI, or other third-party services.
  • You must comply with each connected service's terms, policies, rate limits, consent rules, messaging rules, anti-spam rules, template rules, sender rules, and data-protection requirements.
  • You are responsible for the content and recipients of messages sent from your workspace, including SMS, email, WhatsApp, Facebook, Instagram, review requests, reminders, and follow-ups.
  • Third-party providers may suspend, limit, change, or discontinue their services. WrapDesk is not responsible for third-party outages, review delays, account restrictions, delivery failures, fees, or policy decisions.

AI-assisted features may generate transcripts, summaries, prefill suggestions, lead intent signals, action items, queue summaries, or default images. AI outputs can be incomplete or incorrect and must be reviewed by a human before being used for customer commitments, pricing, booking decisions, payments, safety matters, or legal compliance.

Meta services

If you connect or use Facebook, Instagram, WhatsApp Business, Pages, business portfolios, messaging, webhooks, access tokens, or other Meta services with WrapDesk, you confirm that you are authorised to do so for the relevant business, Page, account, phone number, user, client, and workspace.

You must comply with Meta's applicable terms, policies, developer documentation, permission rules, review requirements, messaging rules, commerce rules, and data-use restrictions. You must only request and use Meta permissions and data for the specific WrapDesk features that are active in your workspace and allowed by Meta.

Data received from Meta services may include access tokens, page or account IDs, usernames, profile details, sender IDs, messages, message metadata, comments, leads, media, webhook events, business asset information, phone-number information, and delivery or status events, depending on the permissions granted and the feature used. WrapDesk uses that data to provide the connected workflow and handles deletion requests through the User Data Deletion page.

Acceptable use

WrapDesk must be used responsibly and only for lawful business workflows.

  • Do not use WrapDesk to break the law, infringe rights, mislead people, send unlawful or unwanted messages, harass people, or process information without a valid basis.
  • Do not upload malicious code, attempt to bypass security controls, scrape the service, overload the service, reverse engineer non-public parts of the service, or access data you are not authorised to access.
  • Do not use connected Meta, WhatsApp, SMS, email, or payment features for spam, unlawful marketing, discriminatory practices, surveillance, eligibility decisions, or any purpose prohibited by the relevant platform rules.
  • Do not sell, license, or disclose data obtained through connected platforms unless allowed by law, by the platform terms, by these terms, and by the relevant customer or user permissions.

We may investigate suspected misuse and may remove content, disable features, revoke tokens, suspend access, report activity, or terminate accounts where needed to protect users, customers, providers, platforms, or the service.

Content and files

You keep ownership of content you submit to WrapDesk, such as shop details, customer records, vehicle details, quote notes, messages, photos, call recordings, transcripts, portfolio content, logos, and uploaded files. You grant WrapDesk the right to host, process, copy, display, transmit, transform, and use that content as needed to provide, secure, support, and improve the service.

You must have the rights and permissions needed to upload, process, share, or display content in WrapDesk. Do not upload unrelated sensitive information, confidential third-party material, unsafe content, infringing content, or files that are not needed for the workflow.

Some links, images, booking pages, quote pages, portfolio items, and files may be visible to customers, installers, shops, or people who receive the relevant link. Review content before publishing or sending it.

Privacy and security

Our Privacy Policy explains how WrapDesk collects, uses, shares, stores, and deletes personal information. You must provide any notices, consents, opt-outs, staff disclosures, call-recording notices, customer permissions, and privacy information required for your own use of WrapDesk.

Shops are generally responsible for the customer, staff, installer, and business records they add to their workspace. WrapDesk processes those records to provide the service and may assist with privacy requests where the shop controls the record.

We use reasonable safeguards, but no service can be guaranteed to be uninterrupted or completely secure. You should not use WrapDesk as the only copy of important legal, payment, customer, job, tax, or safety records.

Requests from public authorities are handled under the WrapDesk Government Requests Policy, including legality review, challenges to unlawful or overbroad requests, data minimisation, and restricted documentation.

Availability and support

WrapDesk may change, add, remove, suspend, limit, or discontinue features, plans, integrations, providers, workflows, and beta functionality. We try to maintain reliable service, but availability may be affected by maintenance, outages, provider changes, platform reviews, app-review decisions, payment-provider issues, network issues, security incidents, or events outside our control.

Support is provided through the channels we make available. We may prioritise support based on plan, severity, operational impact, security, and legal requirements.

Suspension and termination

You may stop using WrapDesk at any time. Some subscription, payment, payout, customer, dispute, tax, retention, or export obligations may continue after account closure.

We may suspend or terminate access, remove content, restrict integrations, revoke connected credentials, or disable features if we reasonably believe there is non-payment, legal risk, security risk, platform-policy risk, misuse, account compromise, harmful conduct, or a breach of these terms.

After termination, we may retain, delete, export, or restrict records according to the Privacy Policy, applicable law, provider requirements, backup schedules, dispute needs, tax requirements, security needs, and any written agreement.

Disclaimers and liability

To the maximum extent permitted by law, WrapDesk is provided "as is" and "as available" without warranties that it will be uninterrupted, error-free, secure, fit for a particular purpose, or compatible with every third-party service, device, browser, workflow, or provider policy.

Nothing in these terms excludes, restricts, or modifies rights that cannot be excluded under applicable law, including any non-excludable rights under the Australian Consumer Law.

To the maximum extent permitted by law, WrapDesk is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost goodwill, lost data, third-party service failures, platform-policy decisions, payment disputes, customer disputes, installer disputes, vehicle-service outcomes, or business interruption.

Where liability cannot be excluded, WrapDesk's liability is limited to the maximum extent permitted by law, including where available by re-supplying the service or paying the cost of re-supplying the service.

Changes

We may update these terms from time to time. The updated version will be posted on this page with a new last-updated date. If a change is material, we may provide additional notice through the app, email, or another reasonable channel.

Continued use of WrapDesk after changes take effect means you accept the updated terms. If you do not agree to the updated terms, you must stop using WrapDesk and close or export your workspace where available.

Governing law

These terms are governed by the laws of South Australia, Australia, except where applicable law requires a different governing law. Courts located in South Australia will have non-exclusive jurisdiction, except where applicable law gives you a right to bring proceedings elsewhere.
